Rigorous due diligence is your best defense against poor returns. It goes far beyond the pitch deck and requires a deep dive into four key pillars.
1. The People & The Plan (Team & Strategy)
Ultimately, you're betting on people.
- Scrutinize the team: What is their track record, operational expertise, and succession plan?
- Check alignment: How much of their own money ("skin in the game") is in the fund?
- Verify the strategy: Is their focus on a specific sector, geography, and deal size clear and consistent with their expertise?
2. The Process (How They Execute)
A great strategy needs a repeatable process.
- Deal Sourcing: How do they find proprietary deals that others don't see?
- Filtering: What is their "deal funnel" for narrowing thousands of opportunities down to a select few?
- Diligence Rigor: How thorough is their process, from initial screening to final investment committee approval?
3. The Paperwork (Fund Details & Reporting)
This is where true alignment is revealed.
- Analyze the Limited Partnership Agreement (the LPA): Scrutinize management fees, performance fees, the waterfall structure (American vs. European), and clawback provisions.
- Demand Transparency: How are assets valued and reported? Clear and frequent communication is extremely important!
4. The Long-Term View (Liquidity & ESG)
Your commitment is for years, so understand the end game.
- Exit Options: What are the rules for selling your stake on the secondary market?
- Conflicts of Interest: How does the GP manage potential conflicts in complex deals like GP-led secondaries?
- ESG Integration: Is the firm’s commitment to ESG deeply embedded in its process, or is it just lip service?
